This Risk Disclosure statement provides you with information about some risks associated with the use of the products and services offered by Astra Global Technology Limited (respectively, “Astra” and the “Services”).
The information presented in this Risk Disclosure Statement is not exhaustive and does not reflect all of the risks (or other important factors) you should consider before using the Services. You must make your own decision whether to access or use the Services and should seek any advice that you consider necessary or desirable (including financial and/or legal advice) from independent advisers.
Use of or access to Services provided by Astra is conclusive evidence that you fully understand the risks listed below and accept that Astra shall not be responsible for any loss or damage howsoever suffered (whether directly or indirectly) in using or accessing the Astra Services as aforesaid.

RISKS ASSOCIATED WITH TOKENISED PRODUCTS
1.1 Leverage Risk
Some products offered by Astra (i.e. perpetual futures or Event Contracts) may involve leveraged exposure. Leverage magnifies both potential gains and losses. Small movements in market price may lead to disproportionate outcomes, including the total loss of your margin.
1.2 Price Volatility
Digital Assets can exhibit high levels of volatility. Price fluctuations may be sudden and severe due to market news, liquidity shifts, economic data, or global events. These movements may lead to significant or total losses.
1.3 Liquidation Risk
Where applicable, products with margin (i.e. collateral) or leverage components may be subject to automatic liquidation if your margin balance falls below maintenance thresholds. You may not receive prior notice, and losses may exceed your initial investment.
1.4 No Ownership Rights
Products provided by Astra that reference real world assets (e.g. foreign currencies, commodities, stocks, etc.) are synthetic in nature and do not represent ownership of the underlying assets. Users have no right to dividends, voting rights, or any other entitlements typically attributable to such asset classes.
1.5 Pricing Risk
Prices and execution quality may differ from traditional exchanges due to liquidity, market depth, and execution methods. Price slippage and delays may occur, especially during volatile market conditions.
1.6 xStocks Tokens
Astra is not the issuer of any xStocks tokens. All xStocks tokens are issued and redeemed solely by third-party issuers.
Astra acts as a service provider facilitating access to such products and may, at its discretion, provide or support liquidity for certain tokens.
However, Astra makes no guarantees as to the issuance, collateralization, redemption, delivery, or fair pricing of any xStocks token.
The mechanics of token issuance and redemption relating to xStocks Tokens are outside Astra’s control. Users must independently assess the credibility and risks of the underlying mechanisms.
1.7 Event Contract Risks
The risk of loss in trading Event Contracts can be substantial and is a highly speculative activity involving volatile markets. If the outcome of the underlying event is unfavourable to the ‘yes’ or ‘no’ position taken by the long holder of an Event Contract, the long holder will lose the entire premium paid, assuming the position is not liquidated (offset) prior to the contract’s expiration. If the outcome is favourable to the long and unfavourable to the short position holder, the short position holder likewise will lose the full amount of the margin it is required to maintain in its account to carry the position.
The prices of Event Contracts reflect the market’s expected probability of events occurring. Event Contract prices may not always reflect the actual probabilities of an event occurring, nor is the outcome of an Event Contract knowable in advance. Thus, market participants may experience unexpected losses and should be prepared for the possibility of losing their entire investment.
Event Contracts may have varying levels of liquidity. Limited liquidity could make it difficult for a market participant to enter or exit positions at intended prices, could lead to adverse price movements and could make it difficult to close positions.
The value of an Event Contract in part depends on the outcome of the underlying event, typically as reported by a third-party source. Market participants may be exposed to risk if the third-party source experiences a data security breach, reports inaccurate data or does not report data when expected.

TECHNOLOGY AND OPERATIONAL RISKS
2.1 System and Service Risk
The Services are provided through complex software systems that may be subject to bugs, errors, or outages. Technical failures, scheduled maintenance, or unexpected disruptions can result in temporary unavailability or degraded performance of the Services, potentially preventing timely order execution or access to the Services.
2.2 Network and Connectivity Risk
Internet service interruptions, slow or unstable network connections, or issues with third-party infrastructure can adversely affect your ability to connect to the Services, monitor positions, or execute trades. Delays caused by connectivity issues may result in unfavourable trade outcomes.
2.3 Cybersecurity Risk
Digital trading services are exposed to risks from cyber-attacks, hacking, malware, phishing, and unauthorized access attempts. While Astra implement security measures, no system is impervious to breaches. Users must take responsibility for protecting their credentials, devices, and personal data by using strong passwords, two-factor authentication, and safe online practices.
2.4 Smart Contract and Blockchain Risk
If any products or transactions are facilitated via blockchain-based smart contracts or decentralized systems, there are inherent risks including software bugs, vulnerabilities, blockchain hard forks, and unforeseen exploits. Such issues could lead to the loss, theft, or freezing of assets.
2.5 Data Integrity and Accuracy
The accuracy and timeliness of market data, pricing feeds, and order book information depend on external data providers and internal processing systems. Delays or inaccuracies may impact trading decisions and execution quality.
2.6 Third-Party Service Risk
The operation of the trading services depends on third-party providers such as cloud infrastructure, payment processors, and data aggregators. Failure or disruption of these providers may impair functionality or result in loss of access to the Services.

COUNTERPARTY AND LEGAL RISKS
3.1 Counterparty Risk
Trading through the Services involves counterparty risk. Transactions are entered directly with Astra or third-party liquidity providers. In the event of insolvency, operational failure, or inability to meet obligations by these parties, users may suffer losses.
Counterparty risk may also arise from failures in counterparties’ internal controls, technology systems, or compliance with applicable laws and regulations. Such failures could result in inaccurate trade execution, mispricing, or disruption of trading services.
Users acknowledge that Astra and third-party liquidity providers are subject to external market conditions, regulatory actions, and financial stability risks that may adversely affect their ability to meet contractual obligations. Users are encouraged to perform their own due diligence and risk assessments before engaging in trading activities.
3.2 Regulatory Risk
The legal and regulatory landscape for digital assets is evolving. Changes in laws, regulations, or enforcement could impact the availability or legality of products and Services.

The information, products, and Services offered are for general informational purposes only and do not constitute a solicitation, endorsement, or recommendation to buy, sell, or hold any digital assets or derivatives offered through its Services.
Users should seek independent professional advice tailored to their individual circumstances before making any investment or trading decisions. Astra makes no representations or warranties regarding the suitability, profitability, or risk of any product or service offered.
4.2 No Guarantees
Astra does not guarantee uninterrupted or error-free access to its Services. Service availability, trade execution speed, and order fulfilment depend on numerous factors including technology performance, network conditions, and market liquidity, all of which may be affected by circumstances beyond Astra’s control. Prices made available through the Services may not always reflect real-time market conditions or be accurate due to latency, slippage, or other market dynamics. Astra expressly disclaims any liability for losses resulting from delays, inaccuracies, system failures, or insufficient liquidity.
4.3 Risk of Total Loss
Trading digital assets and derivatives involves a high degree of risk, including the possibility of losing all invested capital. Market volatility, leverage, margin requirements, and other factors can amplify losses rapidly. Users should only trade with capital they can afford to lose without adverse impact on their financial situation. Past performance is not indicative of future results, and there is no assurance that trading will be profitable. Users bear full responsibility for their trading decisions and outcomes.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE SERVICES, ASTRA’S MATERIALS AND ANY PRODUCT, SERVICE OR OTHER ITEM PROVIDED BY OR ON BEHALF OF ASTRA ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
ASTRA EXPRESSLY DISCLAIMS, AND YOU WAIVE, ANY AND ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT OR WARRANTIES ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE IN TRADE.
WITHOUT LIMITING THE FOREGOING, ASTRA DOES NOT REPRESENT OR WARRANT THAT THE SITE, THE SERVICES OR Astra MATERIALS ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Astra DOES NOT GUARANTEE THAT ANY ORDER WILL BE EXECUTED, ACCEPTED, RECORDED OR REMAIN OPEN. EXCEPT FOR THE EXPRESS STATEMENTS SET FORTH IN THIS AGREEMENT, YOU HEREBY ACKNOWLEDGE AND AGREE THAT YOU HAVE NOT RELIED UPON ANY OTHER STATEMENT OR UNDERSTANDING, WHETHER WRITTEN OR ORAL, WITH RESPECT TO YOUR USE AND ACCESS OF THE SERVICES.
WITHOUT LIMITING THE FOREGOING, YOU HEREBY UNDERSTAND AND AGREE THAT ASTRA WILL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING OUT OF OR RELATING TO:
(A) ANY INACCURACY, DEFECT OR OMISSION OF DIGITAL CURRENCY PRICE DATA,
(B) ANY ERROR OR DELAY IN THE TRANSMISSION OF SUCH DATA,
(C) INTERRUPTION IN ANY SUCH DATA AND
(D) ANY DAMAGES INCURRED BY ANOTHER USER’S ACTIONS, OMISSIONS OR VIOLATION OF THIS AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ASTRA, AND ITS SHAREHOLDERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, ATTORNEYS, AGENTS, REPRESENTATIVES, SUPPLIERS OR CONTRACTORS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL OR SIMILAR DAMAGES OR LIABILITIES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, INFORMATION, REVENUE, PROFITS OR OTHER BUSINESS OR FINANCIAL BENEFIT) ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, ANY PERFORMANCE OR NON-PERFORMANCE OF THE SERVICES, OR ANY OTHER PRODUCT, SERVICE OR OTHER ITEM PROVIDED BY OR ON BEHALF OF ASTRA, WHETHER UNDER CONTRACT, STATUTE, STRICT LIABILITY OR OTHER THEORY EVEN IF ASTRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES EXCEPT TO THE EXTENT OF A FINAL JUDICIAL DETERMINATION THAT SUCH DAMAGES WERE A RESULT OF ASTRA’S GROSS NEGLIGENCE, FRAUD, WILLFUL MISCONDUCT OR INTENTIONAL VIOLATION OF LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
NOTWITHSTANDING THE FOREGOING, IN NO EVENT WILL THE LIABILITY OF ASTRA AND ITS RESPECTIVE SHAREHOLDERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, ATTORNEYS, AGENTS, REPRESENTATIVES, SUPPLIERS OR CONTRACTORS ARISING OUT OF OR IN CONNECTION THE SERVICES, ANY PERFORMANCE OR NON-PERFORMANCE OF THE SERVICES, OR ANY OTHER PRODUCT, SERVICE OR OTHER ITEM PROVIDED BY OR ON BEHALF OF ASTRA WHETHER UNDER CONTRACT, STATUTE, STRICT LIABILITY OR OTHER THEORY, EXCEED THE AMOUNT OF THE FEES PAID BY YOU TO ASTRA IN THE SIX-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM FOR LIABILITY.
